NATIONAL ALLIANCE OF BURMESE BREEDERS BY-LAWS

ARTICLE I - MEMBERSHIP ACCEPTANCE AND DUES

Section 1

Application for membership in NABB may be proposed to the Secretary by any member, and the Secretary shall thereupon send an invitation and an application form to the prospective member. Application for either full or Associate membership may also be submitted in writing by the applicant directly to the Secretary.

Section 2

Applications for full and Associate membership must be accompanied by one (1)full year dues. Applications for full membership must also be accompanied by a copy of either a CFA litter registration by the applicant for a litter of Burmese kittens or a copy of a catalog page evidencing the entry of a Burmese cat or kitten by the applicant in a show.

Section 3

If the Secretary has any question that the applicant does not meet the membership requirements set forth in the Constitution, the Secretary may make inquiries and/or submit the applicant's name to the Board for approval, in which case the application shall be voted upon at the next meeting of the Board. Two negative votes shall be sufficient to reject the application.

Section 4

Annual dues for membership in NABB shall be as follows:

a.

Member: $25.00.

b.

Associate Member: $20.00.

c.

Family memberships (two or more members in same household): $30.00. Only one member in a family will receive the NABB newsletter.

ARTICLE II - ELECTIONS AND VOTING

Section 1

Any full Member in good standing is eligible to be nominated, or to declare to be a candidate, as an officer or Director-at-Large. Nominations for officers and Directors-at-Large shall be made by a Nominating Committee appointed by the President and approved by the Board. Eligible members desiring to run for office may submit a written declaration of their candidacy to the Secretary not later than March 15 prior to the election.

Section 2

Election of officers and Directors-at-Large shall be by written ballot. Ballots for election of the three (3) officers or the two (2) Directors-at- Large, as applicable, shall be mailed to all full Members in good standing not later than April 15 each year. The sealed ballots shall be mailed or delivered to the designated Teller so as to be received not later than May 20 of that year.

Section 3

The Board shall appoint an election Teller who shall be an impartial individual not affiliated with NABB. The designated Teller shall receive the ballots; shall open and canvas the votes after the closing date for receipt; shall submit a written report of the ballots canvassed to the Board by June 1; and shall send the ballots and postmarked envelopes to the Secretary.

Section 4

The results of the election will be announced to the membership with the announcement of the time and place of the Annual Meeting. The newly elected officers or Directors-at-Large shall take office at the beginning of the Annual Meeting following their election. With approval of the members at the Annual Meeting, the Secretary shall destroy the ballots following the Annual Meeting.

Section 5

A vacancy occurring in any Board position shall be filled by the Board of Directors for the balance of the unexpired term. One person may not hold two Board positions simultaneously.

ARTICLE III - DUTIES OF OFFICERS AND DIRECTORS

Section 1

The President shall be the chief executive officer and shall chair the Board, shall preside at all meetings, and shall perform all duties consistent with the office. The President shall be a member ex-officio of all standing and ad-hoc committees appointed by either the President or the Board. Should the President be absent from any Board or general meeting, the members present shall elect a temporary chair for said meeting.

Section 2

The Secretary shall be the recording and corresponding officer; shall keep a record of all meetings; shall keep a roster of members with addresses; shall send invitations to prospective members and inform applicants of acceptance to membership; and shall send out ballots for election of officers and Directors-at-Large, ballots for constitutional amendments, and notices for payment of dues. Should the Secretary be absent from any Board or general meeting, the presiding officer shall appoint a temporary secretary for said meeting.

Section 3

The Treasurer shall receive and have custody of all moneys belonging to NABB; shall open a bank account or accounts in the name of NABB; shall issue checks in payment of authorized expenditures; shall keep accurate accounts of all monetary receipts and expenditures; and shall prepare and submit financial reports quarterly and at the Annual Meeting. The Treasurer shall have the authority to issue checks for expenditures of up to five hundred dollars ($500.00) without prior approval of the Board. In the Treasurer's absence or incapacity, the President shall have the authority to sign checks on the NABB account(s). Both the Treasurer and President shall be bonded.

Section 4

The Board of Directors shall be the governing body of NABB and shall act on its behalf as required. The Board shall have the power to expel members for cause in accordance with Article V of these By-Laws; to amend these By-Laws in accordance with Article VIII of the Constitution; and to authorize expenditures by the Treasurer of up to one thousand dollars ($1,000.00) without obtaining prior approval of the membership. The transfer of up to two thousand dollars ($2,000.00) to a separate treasury for a NABB show approved by the Board shall not require prior approval of the membership.

ARTICLE IV - DUTIES OF COMMITTEES

Section 1

The Awards Committee shall be responsible for the conduct of all awards activities by NABB, including the annual show awards, individual awards to NABB members for outstanding service, and other awards or recognition as may be established by the Board. The annual show awards shall consist of recognition presented at the Annual Meeting to the highest scoring fifteen (15) Burmese Championship cats, ten (10) Burmese kittens, and ten (10) Burmese Premiership cats exhibited at CFA shows the preceding show season. The rankings for determining the NABB show awards shall be based on the points earned at CFA shows as published in the official "Show Scoreboard" in the CFA Almanac, and no distinction shall be made between Sable and Dilute Burmese.

Section 2

The Show Committee shall be responsible for determining the guidelines and arrangements for conducting NABB shows as authorized and directed by the Board, including selection of show facilities and recruiting of show committee members to handle local activities.

Section 3

The composition and duties of ad-hoc committees when required from time to time shall be as determined by the President or the Board.

ARTICLE V - DISCIPLINE

Section 1

Members who have been permanently or temporarily suspended from receiving CFA services as the result of a disciplinary hearing shall automatically be expelled from membership in NABB. Members on probation from CFA services may reapply for membership in NABB upon completion of their temporary suspension.

Section 2

Any member who is shown to have conducted themselves in a manner that is detrimental to the objectives of NABB or the welfare of cats in general may be expelled, suspended from privileges, or reprimanded by a two-thirds (2/3) vote of the Board.

Section 3

Charges against any member shall be made in writing with a notarized signature of the accuser(s), and shall be delivered to the Secretary in person or by registered mail. A copy of the charges shall be furnished to the accused at least fifteen (15) days prior to the date of the Board meeting at which the charges are to be considered. No oral or anonymous charges will be considered.

ARTICLE VI - OWNERSHIP OF ASSETS

Section 1

All assets and moneys of NABB shall be the property of the membership as a whole, and no individual member shall be deemed to have any separate interests therein.

ARTICLE VII - DISSOLUTION

Section 1

NABB shall not be disbanded as long as seventy-five percent (75%) of the voting members in good standing vote to continue. Such vote shall be by written ballot mailed by the Secretary to all members eligible to vote and shall be returned to the Secretary.

Section 2

In the event the membership does not vote to continue NABB, all accounts shall be settled by the Treasurer; all properties, if any, shall be sold at the Board's direction; and an audit of the treasury shall be performed.

Section 3

The Treasurer shall thereafter deposit all moneys of NABB in a special interest-bearing savings account in NABB's name. Withdrawals from said savings account shall require the signatures of both the Treasurer and the President.

Section 4

If NABB is not reactivated within five (5) years of the election not to continue, NABB will be declared to have been disbanded and the total moneys on deposit in the special savings account shall be donated to The Winn Feline Foundation of CFA with the designation that the moneys be used first for any genetic and/or health research related to the Burmese breed.
