NATIONAL ALLIANCE OF BURMESE BREEDERS
CONSTITUTION
ARTICLE I - NAME
Section 1 | This organization shall be known as NATIONAL ALLIANCE OF BURMESE BREEDERS and may be referred to as NABB.

Section 2 | NABB shall be incorporated under the laws of any state in the contiguous United States.
| Section 3 | This organization shall be affiliated with the Cat Fanciers Association, Inc. (CFA).
| Section 4 | "Burmese" as used herein does not include the "European Burmese" breed of cat accepted by the CFA. |
ARTICLE II - OBJECTIVES
Section 1 | The primary objective of NABB shall be to promote and advance the Burmese breed of pedigreed cat and the welfare of cats in general.
| Section 2 | In fulfilling the primary objective, secondary objectives of NABB shall be:
| | a. | Encourage excellence among the membership in breeding practices.
| | b. | Disseminate information pertaining to the health, genetic traits, and other characteristics of the Burmese breed.
| | c. | Provide assistance to novice breeders in all aspects of breeding practice.
| | d. | Organize and produce cat shows under the auspices of the CFA. |
ARTICLE III - MEMBERSHIP
Section 1. | Persons of good moral character and reputation in regard to ownership and breeding of cats and who are in accord with the objectives of NABB shall be eligible for membership in one of the categories set forth below.

Section 2 | Membership in NABB shall be in one of the following categories:
| | a. | Member. Individuals, over the age of 16, who have either bred and registered with the CFA at least one litter of Burmese cats or shown a Burmese cat in any CFA competitive category (Kitten, Championship, or Premiership). Full Members may hold any office or directorship in NABB and shall have full voting privileges in any election of officers or directors, any poll for ratification of Board action, balloting on changes to the Constitution and By-Laws, and at any general meeting of NABB.
| | b. | Associate Member. Individuals who are interested in the objectives of NABB, but who do not meet the requirements for full Member. Associate Members are not eligible to hold elected office in NABB and shall not have voting privileges, but shall otherwise have all other privileges and benefits of full Members.
| | c. | Honorary Member. Individuals such as, but not limited to, scientists, Burmese breeders, CFA judges or officers, and Doctors of Veterinary Medicine, who have made a significant contribution to the Burmese breed or to NABB. Honorary Membership shall, from time to time, be bestowed upon individuals proposed and elected by Members of NABB. Honorary Members are not eligible to hold elected office in NABB and shall not have voting privileges, but shall otherwise have all other privileges and benefits of full Members; except Honorary Members who were full Members in good standing in NABB for a period of ten (10) years or longer prior to election to Honorary Member shall have voting privileges.

Section 3 | Applicants who in the opinion of the Board do not meet the requirements for membership set forth herein shall be denied membership.

Section 4 | A member may be expelled from NABB or otherwise disciplined for cause in accordance with the By-Laws.

ARTICLE IV - OFFICERS AND DIRECTORS
Section 1 | The officers of NABB shall be the President, the Secretary, and the Treasurer. The three (3) officers and two (2) elected Directors-at Large shall constitute a Board of Directors (hereinafter "Board"), of which the President shall be the Chair.

Section 2 | The term of office of all officers and directors shall be two (2) years. No officer or director shall serve more than three (3) consecutive terms in the same office.

Section 3 | The terms of the elected Directors-at-Large shall be staggered with the terms of the officers. Officers shall be elected in even-numbered years. Directors-at-Large shall be elected in odd-numbered years.

Section 4 | A Delegate to represent NABB at the CFA Annual Meeting and other CFA functions for the following year shall be elected by vote of the Board in March of each year. |
ARTICLE V - DUES
Section 1 | The dues for membership in NABB shall be established by the Board and shall be set forth in the By-Laws.

Section 2 | The membership and fiscal year of NABB shall be the calendar year.

Section 3 | Annual dues shall be payable by January 31 each year, and must be received by the Treasurer by April 1 in order for the member to be eligible to vote in any election taking place that year. New members joining between October 1 and December 31 of any year shall be considered fully paid for the following year.

Section 4 | Any Member or Associate Member whose dues have not been paid by May 1 shall automatically be dropped from membership. Notice shall be sent by the Secretary to the delinquent member at least three (3) weeks prior to May 1. After May 1 a delinquent member will be reinstated upon payment of the delinquent dues, but if the delinquent member was an officer or director, such reinstatement shall not return the delinquent member to said office. |
ARTICLE VI - MEETINGS AND ADMINISTRATION
Section 1 | The Annual Meeting of NABB shall be held in June, in conjunction with the CFA Annual Meeting. Upon petition of the membership, or as decided by the Board, other general meetings of the membership may be held in conjunction with the CFA International Show or a NABB show. Twenty percent (20%) of the membership, including at least two (2) officers, present at the Annual or other general meeting of NABB shall constitute a quorum for the conduct of business.

Section 2 | Meetings of the Board shall be held periodically upon call of the President. When necessary, Board Meetings may be conducted by telephone conference call or Board members may be individually polled on specific matters. Three (3) officers and Directors-at-Large present at a Board meeting or participating in a telephone conference call shall constitute a quorum for the transaction of business.

Section 3 | Standing committees of NABB shall consist of the Awards Committee and the Show Committee. The President shall appoint the chair of each standing committee. When required, ad-hoc committees shall be established by the Board or appointed by the President to handle specific functions, including, but not limited to, Nominations, Audits, Constitution and By-Laws Revisions, Newsletter, and Burmese Standard and Health Issues. |
ARTICLE VII - AMENDMENTS
Section 1 | This Constitution may be amended by written ballot mailed by the Secretary to all voting members not less than thirty (30) days prior to the due date for return of ballots. A two-thirds (2/3) affirmative vote of the ballots returned shall be the minimum required for adoption of amendments. |
ARTICLE VIII - AUTHORITY
Section 1 | The Board shall have such powers as are prescribed in this Constitution and shall determine all questions of policy and shall administer the affairs of NABB in accordance with the By-Laws of NABB.
| Section 2 | The Board shall prepare and adopt the By-Laws of NABB which shall govern all procedures under this Constitution, including those of the Board, standing committees, and all ad-hoc committees appointed from time-to-time.
| Section 3 | The adopted By-Laws may be amended by an affirmative vote of not less than four (4) Directors present and voting at a Board meeting or participating in a telephone conference call
| Section 4 | The text of amendments to the By-Laws approved by the Board shall be sent by the Secretary to each voting member in good standing and shall become effective within sixty (60) days unless a petition signed by a simple majority of the voting members in good standing is received by the Secretary within that period.
| Section 5 | The Procedures contained in the current "Robert's Rules of Order, Revised" shall govern all matters not covered by this Constitution. |
